Ambassador conditions

As an authorized ambassador of Basal Basics, you agree to abide by the terms and conditions in this agreement. Please read the entire agreement carefully before registering and promoting Basal Basics as an ambassador.

Your participation in the ambassador program is solely for the purpose of legally advertising our website and receiving a commission on memberships and products purchased by individuals referred to Basal Basics through your own website or personal referrals.

By signing up as an ambassador to Basal Basics, you indicate your acceptance of this agreement and its terms and conditions.

Accord

The Agreement is an electronic contract setting forth the legally binding terms of your participation in the Basal Basics ambassador program. You indicate your agreement to this agreement and all terms and conditions contained or referenced in this agreement by completing the Basal Basics application process. This action creates an electronic signature that has the same legal force as a handwritten signature.

Acceptance

Every submission will be manually verified by us. We may contact the application to inquire about motivations. We reserve the right to approve or reject any application, without giving reasons.

Termination

Ambassadorship may be suspended or terminated for one or more of the following reasons:

Inappropriate advertisements (false claims, misleading links, etc.).
Spamming (mass e-mail, mass newsgroup posting, etc.).
Advertising on sites that contain or promote illegal activities.
Failure to disclose the ambassador relationship for a promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations or any applicable state law.
Violation of intellectual property rights. Basal Basics reserves the right to require licensing agreements from those who use Basal Basics trademarks to protect our intellectual property rights.
Offering discounts, coupons or other forms of promised kick-backs from your ambassador commission as an incentive. However, adding bonuses or bundling other products with Basal Basics is allowed.

In addition to the foregoing, Basal Basics reserves the right to terminate any Ambassador account at any time, for breach of this agreement.

References

Ambassadors may use graphics and text links on your website and in your e-mail messages. You may also advertise the Basal Basics website in online and offline advertisements, magazines and newspapers.

Ambassadors may use the images and text provided by us or you may create your own images and text, as long as they are deemed appropriate according to the terms.

Ambassadors may not use misleading text on to suggest anything other than the current authorized deals for the specific ambassador.

Ambassadors may not generate pop-ups, frames or other actions, visible or otherwise, that set ambassador cookies unless the user has clearly and explicitly expressed interest in activating a specific savings by clicking on a clearly marked link, button or image for that specific coupon or deal. Your link should send the visitor to the seller’s site.

The user should be able to see information and details about the coupon/deal/savings before an ambassador cookie is set. Also, the user should not be misled by non-existent coupons.

Earnings

The ambassador program allows you to generate commission on every (recurring) purchase a customer makes at Basal Basics, which is referred through your online channel. This may be through a link and/or a discount code. Through the unique link and/or code, Basal Basics’ software can track that the customer was brought in through your referral, allocating a set percentage commission. This applies to both one-time and recurring orders as well as subscriptions.

Merits are only awarded transactions that are successfully completed. Transactions that result in chargebacks or refunds will not be paid out.

Payouts

Commissions are paid once a quarter. To receive a commission as an ambassador, the referred account must remain active for at least 40 days.

Liability

Basal Basics is not liable for indirect or incidental damages (loss of revenue, commissions) resulting from the failure of ambassador tracking, loss of database files or any result of intentions of damage to the program and/or our website(s).

We make no express or implied warranties regarding the program and/or memberships or products sold by Basal Basics. We do not claim that the operation of the Ambassador program and/or our website(s) will be error-free and we are not liable for interruptions or errors.

Duration

The term of this agreement begins when you accept the program and ends when your account is terminated.

The terms of this agreement may be changed by us at any time. If a change to the terms of this agreement is unacceptable to you, you may terminate the account. Continued participation means you accept the change.

Indemnification

With participation, Ambassador releases Basal Basics and its affiliates and subsidiaries, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by Basal Basics to transmit and distribute materials, from all liabilities, damages fines, judgments, claims, costs, losses and expenses (including reasonable legal fees and expenses) arising out of or in connection with any claims incurred in connection with this Agreement as a result of Ambassador’s negligence, misrepresentation, failure to disclose, or willful misconduct.
